The debt, originating from services provided by ThreeD Capital, will be settled through a Shares for Debt Transaction. This entails AI/ML Innovations issuing a total of 339,000 Common Shares to ThreeD Capital, priced at $0.08 per share, in exchange for clearing the debt. The completion of this transaction is pending approval from the Canadian Securities Exchange.

The Common Shares distributed as part of this deal will be held subject to a four-month period before they can be traded.
