Britvic and Carlsberg Announce Scheme Document Publication for Cash Acquisition

Britvic plc has announced the publication of the Scheme Document for Carlsberg's recommended acquisition. The deal, agreed upon on July 8, 2024, involves Carlsberg acquiring all issued and to be issued shares of Britvic. The acquisition will proceed by a court-sanctioned scheme of arrangement under the Companies Act 2006.

The Scheme Document, now sent to Britvic shareholders, includes a letter from the Chair of Britvic, full terms of the scheme, an explanatory statement, required meeting notices, and an expected timetable. Shareholders are urged to submit proxy appointments for the Court Meeting and General Meeting on August 27, 2024.

Approval from shareholders and the court is necessary for the scheme to take effect in the first quarter of 2025. Britvic Directors, advised by Morgan Stanley and Europa Partners, recommend shareholders vote in favor of the scheme.
