Compulsory Withdrawal of ITESOFT Shares
The company ITEMAN SAS, in collaboration with CDML and various associates, announced the compulsory withdrawal of the shares of the company ITESOFT, listed on Euronext Paris under the ISIN code FR0004026151.
This withdrawal, the result of a public withdrawal offer conducted from May 3 to 16, 2024, will be executed at a price of 4.00 euros per share, net of all costs. Following this offer, the Concert holds 96.52% of the capital and at least 97.59% of the theoretical voting rights of ITESOFT.
This event, in accordance with articles 237-1 to 237-3 of the AMF regulations and the Monetary and Financial Code, will see ITESOFT shares delisted from Euronext Paris on June 4, 2024. Minority shareholders will receive the corresponding compensation through depository institutions.
