Enapter AG Announces Capital Increase and Financing Extension

Enapter AG ("Enapter") has resolved to proceed with a capital increase by issuing new shares, raising up to EUR 8 million. A total of 1,877,934 new shares will be issued at a price of EUR 4.26 each. This offer price reflects a 5% discount on the recent 10-day weighted average price of Enapter shares.

Blugreen Company Limited, Enapter's main shareholder, will participate with EUR 1.5 million but will waive its subscription rights to favor strategic investors. Other binding commitments amounting to EUR 5.5 million come from various investors, including the Wolong Group.

The proceeds are earmarked for working capital, administrative expenses, and general corporate purposes. Additionally, Enapter has agreed to extend an existing EUR 25 million financing agreement with Patrimonium Middle Market Debt Fund until February 29, 2028.
