Ephios Bidco GmbH Announces Public Delisting Acquisition Offer for SYNLAB AG
On 31 May 2024, Ephios Bidco GmbH announced its decision to make a public delisting acquisition offer to the shareholders of SYNLAB AG. The offer aims to purchase all non-par value bearer shares of SYNLAB AG against cash payment in Euros. The offer price per share will match the statutory minimum consideration. The transaction is not subject to any conditions.
In addition, Ephios Bidco GmbH agreed with SYNLAB AG that the company will apply for delisting of its shares on the Frankfurt Stock Exchange and other German exchanges. This application will be submitted no later than 7 business days before the end of the acceptance period for the offer.
The detailed offer document and relevant information will be published in German and an English translation at www.ephios-offer.com. The legal framework of the offer will adhere to the laws of the Federal Republic of Germany and applicable U.S. securities laws.
