Final Results of CPI Property Group's Tender Offer for 2026 and 2027 Notes
On September 25, 2024, CPI Property Group announced the final results of its tender offer for its outstanding 2026 and 2027 senior notes. The offer invited holders to tender their notes for cash, resulting in EUR 370,587,000 of the 2026 Notes and EUR 300,499,000 of the 2027 Notes being accepted for purchase.
The total amount payable for the accepted notes is EUR 646,943,734, which includes accrued interest. The settlement date is expected to be October 1, 2024. Following the settlement, EUR 256,474,000 of the 2026 Notes and EUR 317,059,000 of the 2027 Notes will remain outstanding.
The tender offers were conducted under the terms outlined in the memorandum dated September 16, 2024, and no proration was applied. Valid instructions exceeded the Maximum Acceptance Amount, but all notes were accepted as they did not surpass the final acceptance thresholds.
