Gimv Sells Half of Participation in Infravest to WorxInvest
On September 19th, 2024, Gimv's board of directors decided to transfer half of its participation in Infravest BV to WorxInvest NV. This decision adheres to article 7:97 of the Belgian Companies and Associations Code (BCAC). Filip Dierckx of WorxInvest and Koen Dejonckheere of Gimv highlighted the strategic partnership aimed at enhancing European infrastructure.
The transaction follows a non-binding term sheet signed in June 2024. Gimv had previously contributed its TINC NV shares to Infravest. The deal involves Gimv and Belfius contributing assets to Infravest, contingent on regulatory approvals.
The independent committee's review concluded that the sale aligns with Gimv's policies, posing no disadvantages. Consequently, Gimv's board approved the transaction. Auditor review found the financial information accurate.
