Groupe Berkem Appoints Independent Expert for Tender Offer Project

Blanquefort, France - September 4, 2024 - Groupe Berkem announces the appointment of Paper Audit & Conseil, represented by Xavier Paper, as an independent expert. This appointment is part of the simplified tender offer project to be filed by Kenerzeo before the end of September 2024.

This follows previous communications in July 2024 regarding the intent to appoint an independent expert. The Board of Directors, which met on July 17, 2024, established an ad hoc committee of independent directors Michael Wood, Thierry Lambert, and Karen Le Cannu.

On September 3, 2024, the Board, following the ad hoc committee's recommendation, appointed Paper Audit & Conseil. The expert report will be reviewed by the Board, which will then issue an opinion on the Offer. If minority shareholders hold less than 10% of shares post-Offer, a mandatory squeeze-out will follow.
