Merger announced between Société des Chemins de Fer et Tramways du Var et du Gard and Compagnie du Cambodge

The board of directors of the Compagnie du Cambodge and the board of directors of the Société des Chemins de Fer et Tramways du Var et du Gard today validated the principle of a merger by absorption of the latter by the Compagnie du Cambodge.

This operation aims to rationalize and simplify the structures of the Bolloré group, majority shareholder with 96.35% of the capital of the Société des Chemins de Fer et Tramways du Var et du Gard as of June 30, 2024.

To facilitate the merger, a division by 100 of the nominal value of the Compagnie du Cambodge share will be proposed to shareholders. The merger parity would be 110 Compagnie du Cambodge shares for 1 Société des Chemins de Fer et Tramways du Var et du Gard share.

The merger commissioner, Maurice Nussenbaum, appointed on July 5, 2024, will confirm the parity. The bodies of the two companies will meet at the end of September 2024 to finalize the terms and convene general meetings by the end of 2024.
