Minutes of Wavestone's Combined General Meeting of July 25, 2024

The Combined General Meeting of Shareholders of Wavestone was held on July 25, 2024, under the chairmanship of Pascal Imbert. The shareholders approved the corporate and consolidated accounts for the 2023/24 financial year, ending March 31, 2024, as well as the proposed allocation of profit.

A dividend of €0.38 per share has been validated, or 16% of the group's net profit, and will be paid from August 2, 2024. This sum remains unchanged compared to the previous year.

Ms. Graciana Petersen was appointed as a new member of the Board of Directors for four years, while the mandate of Ms. Marie-Ange Verdickt was renewed for the same duration. Aca Nexia has been appointed as the new auditor for the certification of sustainability information.

The shareholders approved the resolutions, with the exception of the 27th, following the recommendations of the Board of Directors. These resolutions include the remuneration policy for corporate officers.
