Nextech3D.ai Announces Non-Brokered Private Placement to Raise C$2.8 Million

Nextech3D.AI, listed on OTCQX, CSE, and FSE, has announced a proposed non-brokered private placement aiming to issue up to 20,000,000 units at a price of C$0.14 per unit. This initiative seeks to raise a total of C$2,800,000 in gross proceeds.

Each unit will include one common share and one share purchase warrant. The warrants are exercisable to acquire an additional share at C$0.2475 within 24 months from issuance. The expiry date of the warrants can be accelerated if the company's shares trade at or above C$0.50 for ten consecutive days.

The offering is pending regulatory approval from the Canadian Securities Exchange. These securities are not registered under the U.S. Securities Act of 1933 and cannot be offered or sold in the United States without proper registration or exemption.
