Public withdrawal offer and squeeze-out for ITESOFT shares

ITESOFT announces a public buyout offer followed by a squeeze-out, initiated by ITEMAN SAS and concerted shareholders. This offer targets the company's shares at a price set at 4.00 euros per share. The duration of the offer is 10 trading days. The Financial Markets Authority will determine the timetable for the offer in accordance with its general regulations.

A squeeze-out is planned at the end of the offer, involving the transmission of the shares not tendered to ITEMAN against compensation identical to the offer price. Withdrawal is based on the Monetary and Financial Code and requires the conditions already met. The AMF validated this operation by visa n°24-129, dated April 30, 2024.
