Vectron Systems AG: Business Combination with Shift4 Group Finalized, Delisting Planned
Münster, 13 June 2024. Vectron Systems AG has announced the finalization of its merger with Shift4 group. The earlier condition requiring Shift4 to acquire at least 70% of Vectron’s shares has been waived. Shift4 claims the near-completion of this threshold, thus finalizing the Business Combination Agreement.
The merger involves the acquisition of approximately 41.4% of Vectron's share capital from CEO Thomas Stümmler and a company controlled by him. A 10% capital increase will also be undertaken by Shift4. The tender offer for all Vectron shares, priced at EUR 10.50 per share, continues unaffected.
Following this tender offer, a delisting of Vectron shares from the stock exchange is anticipated in the near term.
