Voyageurs du Monde: Submission of a draft Public Share Buyback Offer

Voyageurs du Monde announces the filing of a proposed public buyback offer for its own shares (OPRA) with the AMF, targeting 866,666 shares at a price of 150 euros per share. This offer, approved at the Combined General Meeting of June 3, 2024, intends to reduce the company's capital.

The operation, with a minimum duration of 20 calendar days, aims to use the company's excess cash. With a premium of 16.3% on the closing price of April 22, 2024, the project will have a total cost of 130 million euros. After the operation, Voyageurs du Monde will maintain a healthy financial situation.

Jean-François Rial and other senior managers will contribute their actions to OPRA. Majority, Avantage holds 69% of the share capital. The proposal has a limited impact on strategy, employment, and share prices.
