Safran: agreement signed for the implementation of a share repurchase tranche

Paris, January 12, 2024

On January 12, 2024, Safran (Euronext Paris: SAF) has entered into an agreement with an investment services provider for the implementation of a new tranche of repurchase of its own shares (ISIN FR0000073272) in order to enable, on the one hand, the delivery of shares in case of conversion of its convertible bonds maturing in 2028 and, on the other hand, the allocation or sale of shares to employees or corporate officers of Safran or other Group companies. Under the terms of this agreement, Safran will repurchase shares for a maximum amount of Euro 450 million from January 16, 2024 and no later than March 1, 2024.

This operation will be carried out in accordance with the share buyback authorization granted on May 25, 2023 by the shareholders’ General Meeting that has set the maximum purchase price at Euro 175 per share. 

As a reminder, Safran had announced, on July 27, 2023, that it would repurchase up to approximately 4 million of its own shares (approximately 0.95% of its capital) with a view to hedging the potential dilution related to its convertible bonds maturing in 2028. To this end, Safran already repurchased, between September and November 2023, approximately 2 million shares.
